Terms of Service

1. Acceptance of Terms

By accessing or using the Lightwork Smart Estimator widget ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and the Service Provider ("Contractor", "we", "us").

2. AI Disclaimer & Non-Binding Estimates

2.1 Probabilistic Nature of AI: The Service utilizes artificial intelligence and machine learning technologies ("AI") to generate cost estimates, project scopes, and other content. You acknowledge that AI systems are probabilistic and may generate incorrect, inaccurate, or fabricated information ("hallucinations").

2.2 Rough Order of Magnitude (ROM) Only: All estimates, pricing, and project details generated by the Service are Rough Order of Magnitude (ROM) estimates provided for informational purposes only. They do NOT constitute a binding quote, bid, offer, or contract.

2.3 Verification Duty: You are solely responsible for independently verifying all information provided by the Service. You agree not to rely on any AI-generated output for critical financial or safety decisions without human confirmation.

3. No Agency or Boarding Authority

The AI agent interacting within this Service is an automated tool and does not possess the authority to bind the Contractor to any agreement, price, schedule, or scope of work. No contract is formed until a formal, written agreement or final invoice is explicitly approved and sent by a human representative of the Contractor. Any "confirmation" or "approval" generated by the AI is preliminary and subject to human review.

4. User Obligations

You agree to provide accurate and complete information when using the Service. You are prohibited from using the Service for any unlawful purpose, including but not limited to fraudulent bookings, data scraping, or attempting to reverse engineer the AI models.

5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• NO WARRANTIES: THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF ACCURACY, RELIABILITY, OR FITNESS FOR A PARTICULAR PURPOSE.
• WAIVER OF CLAIMS: YOU WAIVE ANY CLAIM BASED ON DETRIMENTAL RELIANCE ON UNVERIFIED AI STATEMENTS.
• LIABILITY CAP: IN NO EVENT SHALL THE CONTRACTOR OR LIGHTWORK BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING THE SERVICE OR $50 USD, WHICHEVER IS LESS.

6. Communication & Data Privacy

By using the Service, you consent to receive communications (email, SMS, phone) regarding your project inquiry. Where the Service utilizes Stripe for payments or identity verification, you agree to the Stripe Connected Account Agreement, which enables Stripe to process your data.

7. Governing Law

These Terms shall be governed by the laws of the jurisdiction in which the Contractor is established, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved through binding arbitration.

8. User Responsibility for Tax Compliance

8.1 No Tax or Legal Advice: You acknowledge and agree that LightWork is a business management tool and does not provide tax, legal, or accounting advice. LightWork makes no representations regarding the tax treatment of any transaction processed through the Service.

8.2 Sole Responsibility: You are solely responsible for accurately reporting all income to applicable tax authorities, complying with all local, state, and federal tax laws, and maintaining proper records of all transactions—including those settled through alternative arrangements, adjustments, or non-standard payment methods.

8.3 Disclaimer of Liability: By using features such as "Account Adjustments," "Settlements," or similar tools, you acknowledge that the use of these features does not alter your legal obligations to report income. LightWork expressly disclaims all liability for any penalties, fines, audits, or legal consequences arising from your failure to comply with applicable tax laws.

9. Right to Refuse or Terminate Service

9.1 Sole Discretion: LightWork reserves the right, at its sole discretion, to refuse, suspend, or terminate access to the Service for any user, at any time, with or without cause or notice. This includes, but is not limited to, the right to deny registration, reject accounts, or discontinue service to existing users.

9.2 Grounds for Refusal: Without limiting the foregoing, LightWork may refuse or terminate service based on: (a) violation of these Terms or any applicable policies; (b) conduct that is harmful, threatening, abusive, or disruptive to the Service, other users, or LightWork personnel; (c) security risks or fraudulent activity; (d) legal or regulatory compliance requirements; (e) non-payment or repeated payment failures; or (f) any other reason LightWork deems appropriate to protect its business interests and platform integrity.

9.3 Effect of Termination: Upon termination, your right to access and use the Service will immediately cease. LightWork may, but is not obligated to, provide you an opportunity to retrieve your data for a limited period. LightWork shall not be liable for any damages, losses, or expenses arising from the refusal or termination of service.

9.4 Non-Discrimination: While LightWork reserves broad discretion in refusing service, it will not refuse service based on race, color, national origin, religion, sex, sexual orientation, gender identity, disability, or any other characteristic protected by applicable law.

10. Promotional Guarantees

From time to time, LightWork may advertise limited promotional guarantees (including performance-based or money-back guarantees) for business subscribers.

Any such guarantee is subject to explicit eligibility criteria, verification requirements, claim deadlines, and remedy limits described in the applicable subscription terms and offer details.

Unless expressly stated otherwise in writing, promotional guarantee remedies are limited to subscription fee refunds and do not expand LightWork's liability under these Terms.
